This article discusses the governance mechanisms of private equity investment fund organized as limited partnership, and the governance issues and incentive mechanism of Chinese private equity investment fund with a specific case. The suggestions on the successful operation and the rapid development of Chinese private equity investment fund are established. The conclusions in this article are as follows: the main problems faced by Chinese private equity investment fund are a lack of in-depth understanding of the limited partnership, especially on the respective roles of the limited partners and general partner, the governance mechanisms do not in place and a lack of complete market of fund managers, etc. The suggestions as "enhance learning, enhance understanding, complete mechanisms, and supervise appropriately" are therefore proposed.
