在市场经济环境中,大企业集团的发展过程普遍是一系列的企业并购和重组的过程。并购重组作为外部的公司治理机制,能够扩大企业规模、提高产业的集中度,促进煤炭企业调整结构、转变发展方式。但是,重组企业也面l临着母子公司治理机制冲突、文化冲突等一系列治理结构问题,严重制约了煤矿企业集团竞争优势的发挥。本文对这些问题进行了研究,对国有煤炭企业大集团改善公司治理结构、增强管理创新能力提出了建议。%In a market economy environment, generally the development of large enterprise groups is a series of merger and reorganization process. Merger as an exterrial mechanism of corporate governance, to expand the scale of enterprise, increasing industry concentration, promoting the development of coal enterprises restructuring and change. However, restructuring corporate governance mechanism of enterprise face mother-child conflicts, cultural conflicts, and a range of governance issues, seriously restricting the playing of coal mine Enterprise competitive advantage.
