Ownership structure indicates a system for managing and controlling enterprises, which has great influences on the choices and performance of enterprises’ pattern. In this article it is based on the governance structure to set up a model of OPP ( ownership-path-performance) , then with the empirical study about the operational practices of collective forest after collective forest reform in Sanming City, Fujian Province, it is noted that collective forest reform is conducive to clear the property rights of collective forest, and has promoted co-operation between forest farmers and the forest enterprises. Governance ( ownership) structure, designed for protecting ownership benefits of both forest farmers and the forest enterprises to promote their long-term co-operation, with the scaled and technological development path, can effectively promote the development of the forest enterprises themselves as well as improve the income of the forest farmers and contribute to ecological protection. Collective forest reform in Sanming City could be a successful example of relative reform in China, and is of much referential value to other regions.%所有权结构反映了企业管理和控制的体系，它对企业经营模式的选择和绩效表现影响重大。本文从治理结构(所有权结构)出发，建立了“所有权-路径-绩效( OPP)”模型，通过对三明市集体林业改革与发展实践进行实证研究发现：集体林改明晰产权的措施有利于林业企业与林农合作。旨在保障林农与企业长久合作而设计的保护双方所有权收益的治理结构(所有权结构)及基于此的规模和技术发展路径，能有效地促进产业发展、林农致富和生态保护，值得其他地区借鉴。
