股东如何才能获得CEO承诺?--基于晋商票号的案例研究

         

摘要

CEO对股东的承诺对企业的生存发展意义非凡,股东如何获得 CEO 承诺已经成为研究者的关注重点。本文以晋商票号的股东和 CEO 关系为分析对象,探索股东获得 CEO承诺的关键要素以及这些要素发生作用的内在机理。通过分析,本文得出晋商票号股东能够获得CEO承诺四个主要因素:基于儒家价值观与商业能力的选人标准;授予 CEO 充分的结构性权力;实行以股权激励为核心的全面薪酬系统;建立内外约束监督系统。在此基础上,CEO能够自我实现、获得心理授权并进行道德自律,强化了CEO的管家行为倾向,抑制了CEO的机会主义倾向,最终建立起对股东的承诺。本文的研究结论对现代中国企业股东更好地获得CEO承诺有启发意义。%CEO commitment plays a very important role in the survival and development of mod-ern enterprises and how shareholders get commitment of CEO has become a focus of researchers. On the basis of analysis of the Traditional Shanxi Banks(TSB),the paper tries to explore the key factors influencing the CEO’s commitment to the shareholders and how these factors work. Through the strict textual analysis,it draws the conclusion that 4 main factors are rooted:talent-selecting standards based on the Confucian values and the candidates’business competence;fully structural empowerment to CEO,the comprehensive compensation system and the equity incen-tive and effective restraint and supervision system.On this basis,through the three paths:self-actualization,psychological empowerment and moral autonomy,CEOs strengthen their steward behavior,restrain from the opportunistic behavior and eventually establish the commitment to the shareholders.The findings of this research can provide reference for shareholders of modern en-terprises to gain CEO commitment.
