This paper reviews three classical theories of international direct investment in relative with investers' industrial structure, and then from the perspective of empirical analysis, explores the domestic scholars research on China's foreign direct investment and industrial structure adjustment, so as to provide theoretical support and guidance for the further development of outward direct investment of china.% 文章回顾了三个经典的与母国产业结构相关的国际直接投资理论，接着从实证分析的角度探讨了国内学者对中国对外直接投资与产业结构调整的研究，从而为我国进一步开展对外直接投资提供理论支撑与指导。
