X-Rite Inc., a provider of color measuring, formulating, matching, and simulating technology, recently announced a definitive agreement to purchase Pantone Inc., a provider of physical standards and swatches for color communication and inspiration. X-Rite reports that Pantone was approached about acquisition several times over the last few years, but that the US$180 million cash agreement is the result of a competitive auction process that may have involved as many as 20 bidders. The deal is planned for completion this fall. In 2008, X-Rite expects to spend almost US$5.5 million for restructuring, mainly for severance and lease write-off payments. Mary Chowning, X-Rite's CFO, stresses that investment will also target the retention of vital Pantone employees. By 2009, the company hopes to achieve US$6.5 million in operating cost savings associated with the transaction.
