First-year law students learn that a contract is meeting of the minds," an exchange of mutually binding promises mapping out the terms of a transaction or a relationship. It sounds so benign and sensible: two equal parties clearly express their wants and expectations in writing, and add their signatures. And yet, in a substantial number of situations, the parties are at each others' throats almost before the ink is dry. Employment contracts may be among the most problematic. To start with, the parties rarely have equal bargaining power: the employer holds most of the cards. On the other hand, the subject of the contract—job performance—is somewhat difficult to evaluate. When you contract to buy a car or even a house, you can see what you're getting, but unless you can accurately quantify results (for example, create a loan portfolio of X million dollars in six months) it is hard to define the standard of performance expected.
