Nevada Supreme Court Adopts Exceptions to 'No-Damages-for-Delay' Clause

One of the more controversial risk-shifting provisions in construction contracting is the so-called no-damages-for-delay clause. Such a clause generally precludes a contractor from recovering any money damages for project delays and limits the potential relief to a time extension. The enforceability of a no-damages-for-delay clause depends upon a number of factors, including whether a particular jurisdiction has banned the use of the clause as running counter to public policy, whether the clause is ambiguous or a product of poor drafting, and whether state law recognizes broad exceptions to the clause. Nevada is the most recent state to adopt certain exceptions to clauses of this type. The dispute in J.A. Jones Construction Company v. Lehrer McGovem Bovis, Inc., arose during the construction of the Sands Exposition Center, in downtown Las Vegas. Lehrer McGovern Bovis, Inc., (LMB) was the construction manager on the project for the owner, LMB in turn contracted with J.A.Jones Construction Company to perform all of the structural concrete work for $7.4 million. During negotiations, Jones reduced its original bid price by $1 million in view of LMB' s agreement to prepare and maintain the site in a way that would enable Jones to streamline its operations and, therefore, minimize its time on the project.
