Epa Audit Policy Changes Ease Industry Fears Over Merger Impacts

EPA revisions to its long-awaited interim audit policy - designed to encourage new owners of facilities to self-disclose environmental violations by prior owners without fear of penalty - is prompting widespread praise from industry groups who earlier raised concerns that the changes could have a "chilling effect" on mergers. EPA has been seeking to revise its 2000 audit policy to encourage new owners to self-disclose in the wake of the growing number of corporate mergers over the past few years. When EPA first began discussing possible changes to the policy, industry said the agency's requirements for self-disclosure were so restrictive they would negatively impact mergers and acquisitions. In the Aug. 1 policy proposal, EPA said it had made changes to address those concerns by offering incentives specifically tailored to new owners who "want to make a 'clean start' at their newly acquired facilities." At the time, industry groups reserved comment on that claim.
