For those in the business of the environment, the current happenings at Environmental Management Solutions Inc. (EMS) provide some important lessons about how to run a public company and how to overcome challenges associated with good corporate governance. Frank D'Addario founded EMS in 1995. The company grew from a small environmental consulting firm to a public company (TSX: EMS) providing integrated site remediation and organic waste management solutions across Canada and in the northern United States. In 2004, an independent Board of Directors was brought in. The board is what one would expect from a billion-dollar company, not a hundred-million-dollar one such as EMS. The chairman is former Ontario premier Mike Harris. Also on the board is Kevin O'Leary, familiar to some as co-host of the Report on Business television program "Squeeze Play," and the managing partner of North Coast Capital LLC, a Boston-based private equity firm. Other heavy hitters on the board are John Risley, chairman of Clearwater Seafoods Limited Partnership and president of Clearwater Fine Foods Inc., and Timothy Rowley, a professor at the Rotman School of Management, University of Toronto and the Director of the Clarkson Centre for Board Effectiveness and the Director of the Rotman/ICD Director Education Program.
