As the US government increasingly turns to private industry for technological solutions to issues such as homeland security, knowledge management, cyber security, and communications, companies selling to the federal government must be aware of the regulatory and policy schemes that govern the government's ownership of and rights in technical data and computer software. This article describes the spectrum of rights that the government may obtain in technical data and computer software when doing business with private industry. Many commercial companies are reluctant to do business with the Department of Defense and most often cite treatment of intellectual property rights for that reluctance. This is the opening statement in the memorandum that accompanies "Intellectual Property: Navigating Through Commercial Water―Issues and Solutions When Negotiating Intellectual Property with Commercial Companies (IP Guide)." The Office of the Undersecretary of Defense for Acquisitions, Technology and Logistics developed this layperson's guide in order to begin changing the DoD cultural mindset with respect to intellectual property.
