Polymer Group Inc (PGI), one of the world's leading producers of nonwovens, has entered a definitive agreement to be acquired by an affiliate of the investment specialist Blackstone Capital Partners V LP. The transaction should complete before the end of the first quarter of 2011 and is the result of strategic review begun by PGI on 7 April 2010. As a result of the transaction, each holder of PGI common stock will be entitled to receive up to $18.16 in cash for each share. However, a portion of this, totalling $64.5 million or approximately $2.91 each share, will be deposited in an escrow account at closing and will be used, if necessary, to cover potential tax liabilities, costs and expenses related to the application of the so-called "personal holding company" (PHC) rules of the Internal Revenue Code of 1986.
