In the August, 2005 issue of The Business Lawyer, the Committee on Corporate Laws published for comment certain proposed amendments to the Model Business Corporation Act. No comment was received. After further deliberation at its meeting on April 7, 2006 the Committee adopted the proposed amendments on final reading, except that the Committee deferred final action on amendments pertaining to shareholder action without a meeting, section 7.04, and conforming changes to related sections 7.01, 7.03, 7.28, 13.20, 13.21, 13.22, 13.23 and 13.24. The Committee also approved additional changes to section 14.30 of the Act. All approved amendments became part of the Model Act on that date.
