ChemChina is to acquire the remaining 40% stake in its subsidiary, Adama Agricultural Solutions, held by Koor Industries. The Chinese company will also assume Koor’s related non-recourse loan, in a transaction that values Adama’s equity at approximately $3.5 billion. ChemChina acquired a 60% stake in Adama in 2013, then known as Makhteshim-Agan Industries. That included 53% publicly held shares and 7% of the 47% shares held by Koor. Adama became a privately held company following the “reverse merger” (the acquisition of a public company by a private company, helping the private company to bypass the lengthy process of going public). But in August last year, ChemChina subsidiary Sanonda offered to acquire Adama in another reverse merger. Following the move, Sanonda’s shares were suspended from trading pending the acquisition.
