The US refiner has signed an agreement with Par Petroleum to sell its subsidiary Tesoro Hawaii, which includes the 94K-b/d Kapolei, Hawaii refinery along with logistics and retail assets. Par Petroleum will pay $75MM for the operations, plus $225-275MM for net working capital and the market value of inventory at closing. An' earn-out arrangement has been included, of up to $40MM depending on the refinery's performance. Tesoro Hawaii spokesman Lance Tanaka has said that Par Petroleum plans to retain the refinery's workers, and that layoffs at the mothballed plant had been canceled. Tesoro will restart the refinery before handing it over to Par Petroleum at closing, which is expected sometime in 3Q 2013, depending on regulatory approval. Besides the refinery, the additional assets involved in the deal include five product terminals, a single-point mooring terminal, 31 retail stations, and 27 mi (43 km) of pipeline.
