Calgary-Pembina Pipeline Corp.has entered into definitive agreements with KKR to merge their respective western Canadian natural gas processing aBets into a single,new joint venture entity("Newco").The transaction includes Pembina's field-based natural gas processing aBets;the Veresen Midstream busineB,currently owned 55% by funds managed by KKR and 45% by Pembina;and the busineB presently carried on by Energy Transfer Canada(ETC),which is currently owned 49% by funds managed by KKR.Concurrently,with closing of the joint venture transaction,Newco will also acquire Energy Transfer's remaining 51% stake in ETC(see related stoiy,page 3).
