In 1989, Congress enacted the Support for East European Democracy (SEED) Act to211u001eprovide assistance for political and economic development in Eastern Europe. 211u001eInstead of providing more traditional types of foreign assistance, the Act, among 211u001eother things, authorized enterprise funds to promote private sector development 211u001ein Poland and Hungary through grants, loans, equity investments, and other 211u001emeasures. This letter addresses issues raised by your staff regarding structural 211u001echanges undergone by the Polish-American Enterprise Fund (Polish Fund) and its 211u001emanagement company to enable them to operate more like private venture capital 211u001ecompanies. Specifically, we determined (1) whether these structural changes were 211u001epermitted by law, (2) whether the purchase of the Polish Fund's management 211u001ecompany by its employees at book value was permitted by law and whether it 211u001efavored the employees, (3) whether monies earned by Polish Fund management 211u001ecompany employees contravened a $150,000 salary cap, and (4) how proceeds from 211u001ethe sale of the Polish Fund's assets will be distributed.
