PURPOSE:To prepare a modified starch useful as a thickener and a polymer flocculant, having viscosity with low concentration-dependency, by the use of a quaternary ammonium-modified cationic etherified starch having quaternary ammonium- modified cationic substituents as graft side chains. CONSTITUTION:For example, (A) a quaternary ammonium-modified cationic etherified starch having an etherification degree of 0.001-0.5 is graft-copolymerized with (B) a monomer having a quaternary ammonium salt group, et al., or (A') the starch is graft-copolymerized with (B') a monomer having a hydroxyl group, an alkyl ester carboxylate group, etc. The copolymer is reacted with (C') a cationizing agent, e.g. halogenated alkyl quaternary ammonium salt, tertiary amine, quaternary aminoalcohol, etc. to introduce quaternary ammonium-modified cationic substituents to the starch unit and the grafted side chains. The nitrogen content of the graft side chains is 0.01-3% on the basis of the backbone polymer.
