Thirty years ago, the biggest component of the manager compensation was cash in the form of salaries and bonuses, and stock options were just a footnote. Now it is the reverse because stock options have the potential to help align the interests of manager and shares, they help to enhance managers' enthusiasm. Therefore, it is the key for companies to design the stock options. In this paper, we will discuss about this problem.
