摘要

For a modern company which has the feature of separation between ownership and management right, that whether company could establish check-and-balance mechanism of corporate control right directly responsible to efficiency of resource allocation. The paper tries to reveal how the check-and-balance mechanism of the board and management influences corporate performance by empirical analysis. For it, we propose four assumptions and establish multiple linear regression models. And finally, we have the following finds. There are positive correlations between ratio of independent directors, times of the board meeting, size of the board, separation of two jobs (chairman and general manager), and corporate performance.
