摘要

Despite the explosion of strategic alliances activities in the past two decades, they still face a high incidence of instability such that the failure rates are extremely high. Most of the failures are related to inappropriate governance and collaboration management problems, so the first important issue for managers to consider is to choose the appropriate governance structure when they decide to enter an alliance. TCE establishes the foundation of alliance governance, and it is certainly the starting point for future research. However, TCE works well just under condition of traditional context with low-pace and low technology. Its ignorance of a firm's capability constraints and importance of social networks leads to unrealistic choice of governance structure. Recently, researchers transfer their attention to RBV, which complements TCE greatly. Based on the perspectives of TCE and RBV, this paper introduces theory of social network into the choice of governance structure, and then develops a systematic theoretical framework for better understanding the governance structure of alliance.
