从征地补偿制度的缺陷入手,分析了农村征地补偿过程中引入利益相关者理论的必要性.从项目业主的角度,对农村征地补偿中各个利益相关者进行了分类界定,确立了失地农民作为土地开发企业的利益相关者的地位和权益.失地农民是土地开发企业的关键型利益相关者,对企业存在经济依赖性.最后,结合利益相关者理论,有针对性地提出了优化农村征地补偿机制的建议.%According to the deficiencies of land expropriation compensation, the necessity of introducing the shareholder theory to the land expropriation compensation process was analyzed. And then the various stakeholders were classified and defined, and the position and interests of the landless peasants as the stakeholders of land development enterprises were determined. Landless farmers are the key stakeholder of land development enterprises, and economically dependent on the enterprises. Finally, some suggestions were proposed to improve the rural land expropriation compensation mechanism according to the theories of stakeholders.
