The risk investment organization in China is relatively weak in the whole investment mechanism,which is mainly because the related law system is not perfect,limiting the overall development of the risk investment industry.Nevertheless,with the continuous re-vision of the law and regulation in recent years,the risk investment industry presents new situation.Based on the analysis of strength and weakness of limited partnership in improving the risk investment system in China,the paper expounds the value of limited partner-ship in Chinese investment system.%我国的风险投资制度在整体投资机制中相对较弱，出现这种现象的主要原因是我国的相关法律制度不够完善，牵制着风险投资的整体发展。但随着近年来法律法规的不断修订，风险投资行业又出现了新的局面。通过对有限合伙制在完善我国风险投资制度中的优势与劣势进行论述分析，从法律角度阐述了有限合伙制在我国投资制度中的价值。
