In this paper, the legal risks involved in the overseas mergers and acquisitions within the scope of the current world are analyzed, and the existing problems are put forward. Finally, the paper put forward some counter measures like perfect the laws and regulations, perfect the system of examination and approval; strengthen the government service function and mprove the ability of enterprises overseas mergers and acquisitions, as well as the cultivation of professional talents.
