When an Ohio company transferred its assets and liabilities to a subsidiary in 1986, it also transferred its insurance coverage for pre-existing environmental liabilities, a federal trial court ruled July 27 (Pilkington NA Inc. v. Travelers Casualty & Surety Co., N.D. Ohio, No. 01CV7617, 7/27/09).rnUnder the plain language of a transfer and assumption agreement, the glass manufacturer Libby Owens Ford Co. transferred to a subsidiary all its personal property, which includes proprietary rights, or "choses in action," to insurance benefits, the U.S. District Court for the Northern District of Ohio held.rnIt was unnecessary for the agreement to state that the intent was to transfer "choses in action" arising under the insurance policy, the court said.
