Gien the ominous headlines, the case against Martha Stewart looks all locked up. Her pal, ImClone founder Samuel Waksal, just got seven years―without parole―for charges including securities fraud and obstruction of justice. But he was busted the old-fashioned way: He illegally sold ImClone shares on material, nonpublic information that was about to kill the stock. The case against Martha Stewart will be tougher to make. Securities lawyers say the two-pronged attack―a five-count federal criminal case and a civil suit by the Securities & Exchange Commission―would extend securities laws further than ever before, in terms of who is an insider and what is insider information. The Martha mess is the first time the SEC has slapped an insider charge on someone who merely got a tip from a broker regarding a chief executive's stock sale. Another apparent first: The U.S. Attorney's Office has accused someone of securities fraud―which could land Martha in the slammer for ten years―for denying wrongdoing. Even the SEC didn't take this step. "It's definitely pushing the envelope in both the civil and criminal cases," says Roberta S. Karmel, a former SEC commissioner.
