摘要

Our goal was to examine the effectiveness of tools used to minimize the costs of the agency problem in the U.S. corporate governance environment. We concluded that neither of the two most widespread tools are an appropriate remedy to eliminate, or at least minimize, the potential conflict of interests between the agent and the principal. We tested the relationship between a company's performance, as measured by return on equity (ROE), the size of the chief executive officer's (CEO) compensation package, and the board of directors composition.
