The Corporate Laws Committee of the ABA Section of Business Law from time to time makes changes in the Model Business Corporation Act. By publication after second reading in the August 2011 issue of The Business Lawyer, the Committee proposed an amendment to section 7.22 of the Model Act relating to irrevocable proxies and proposed adoption of section 7.29A providing for judicial review of corporate elections, shareholder votes, and other corporate governance disputes.
