There is no doubt that being a director of a company in the current climate of corporate failures can be a risky and onerous occupation. Recent media attention has focused on the unethical conduct of some directors and managers, however, the vast majority are both ethical and hard working with many offering their services for free especially in community and not for profit organisations. The newly released Australian Standards for corporate governance aim to provide directors and company officers with some simple frameworks advising on what constitutes good practice in corporate governance. There is a plethora of information available on corporate governance and up until the development of the corporate governance Standards there have been few if any, successful attempts at bringing this material together to cater for the needs of all organisations in a format that is easily understood and practical.
