Bergen-Odfjell announced that final transaction agreements have been signed with Lindsay Goldberg LLC to expand their existing terminals venture to include a major portion of Odfjell's terminal business globally (PCN, 24-31 Dec 2012, p 4). The transaction, scheduled to close in the second or third quarter of this year, involves Lindsay Goldberg acquiring a 49% interest in Odfjell Terminals AS (OTAS), the holding company for substantially all of Odfjell's tank terminal activities. In exchange, Lindsay Goldberg will invest $219.2-million in OTAS, and will contribute its 49% share in their existing joint venture. As a result, all of the exiting joint venture assets will be owned by OTAS, which will be owned 51% by Odfjell and 49% by Lindsay Goldberg.
