London—AMEC Plc has extended to 12 Nov. the acceptance period for its offer to acquire all of the issued and to be issued shares of Foster Wheeler AG (PCN, 21 July 2014, p 3). Originally scheduled to expire 4 Nov., the offer involves AMEC acquiring all Foster Wheeler common stock for transaction consideration of 0.90 shares of AMEC common stock and $16 in cash. In addition, Foster Wheeler is expected to pay a one-time dividend of $.40 per share prior to closing. Existing Foster Wheeler shareholders will own about 23% of the combined company.
