No sooner had National Oil-well Varco Inc. disclosed it would acquire Ameron International Inc. than outside attorneys raised questions about the deal's fairness. Following Tuesday's announcement that Houston-based National Oilwell planned to buy Pasadena, Calif.-based manufacturer Ameron for 772 million dollars, at least seven securities law firms sent out notices that they were "investigating" the planned transaction, apparently with the possibility of mounting class-action lawsuits challenging whether Ameron sought the best deal for its shareholders before agreeing to be acquired by National Oilwell.
