To secure the sequencing technologies of 454 Life Sciences,a subsidiary of drug discovery company CuraGen Corp(both Branford,CT),the Roche Diagnostics division of Roche Holding(both Basel,Switzerland)has entered into a definitive agreement to acquire 100% of 454 for 154.9 million. The price consists of 140 million in cash and 14.9 million from holders of outstanding stock options and warrants,of which Curagen can expect to receive around 85 million before costs,helping reduce its debt and positioning it as a pure-play drug development company.
