The present invention pertains to a process for extremely easily preparing hydrogen silsesquioxane resin soluble in solvents without gelling and a process for producing chemically stable hydrogen silsesquioxane resin.;Hydrogen silsesquioxane resin is prepared by carrying out hydrolysis and condensation of trichlorosilane (HSiCl3) in a mixture comprising water and at least an oxygen-containing organic solvent selected from ketones , ethers, and esters; with the amount of the added water at such time is at least 12 mol per 1 mol of the amount of the added trichlorosilane. The silanol of the thus obtained resin is capped with R3SiO0.5 (R is a methyl group, a vinyl group, or a hydrogen atom), producing modified hydrogen silsesquioxane resin represented by the formula (HSiO1.5)x(R3SiO0.5)1-x.
