The literature is replete with research on managing the R&D enterprise. However, the R&D Governance paradigm has not received the same level of attention. R&D Governance is focused on providing coherent guidance and a corresponding accountability framework that produces desirable research outcomes to support the enterprise mission. A central element of R&D Governance is establishing a structure appropriate to the mission and context of the enterprise. Unfortunately, for managers responsible for the R&D enterprise, there is little concrete direction to guide development, deployment, maintenance, or assessment of structural configuration. Although structure is an essential element of R&D governance, it remains somewhat underdeveloped. In this paper we build a systemic perspective of R&D structure, based on a management cybernetic framework developed in Beer's Viable System Model (1979, 1981, 1985). Our development is based on three primary points. First, following a brief introduction, we present a literature review for R&D management/governance. Second, we provide an overview of the Viable System Model (VSM) with emphasis on applicability for structural configuration of the R&D enterprise. The paper concludes with guidance and implications for engineering managers responsible for structuring an R&D enterprise.
