The relation between the non-state-owned enterprises’professional trade union chair-man appointed by the later and superior trade union has the feature of principal-agent.Based on principal-agent model,through the payoff matrix,the strategy profile of the non-state-owned en-terprises'professional trade union chairman serving as an agent can be clearly analyzed,and then relevant recommendations about optimizing the pattern of the non-state-owned enterprises'profes-sional trade union chairman can be proposed.%由上级工会向非公企业直派的职业化工会主席与上级工会之间的关系具有委托---代理性质。以委托---代理模型为基础，建立作为代理人的职业化工会主席在为职工维权过程中的收益矩阵，能更清楚地分析作为代理人的职业化工会主席的策略选择，进而为完善仍处于试点中的非公企业工会主席职业化的治理提供相应的建议。
