To create and develop university spin‐offs ,it is required to have specific entrepreneurial competence and to get support from the universities .Hence ,two core mechanisms are vital for university Spin‐offs’ development :one is the uni‐versity Spin‐offs’ entrepreneurial competence improving mechanism ;the other is the universities'promoting mechanism for spin‐off entrepreneurial competence .Based on entrepreneurial competence ,this paper integrates the literature on universi‐ty spin‐offs with final results on the key factors and improving mechanism of university spin‐off entrepreneurial competence as well as the university promoting mechanism for spin‐off entrepreneurial competence .Accordingly ,some indications are provided on the further practice and research of university reform and academic entrepreneurship .%大学衍生企业的创建和发展有其特殊性：一是需要具备特定的创业能力，二是需要得到大学各层次的支持。因此，在大学衍生企业培育和发展过程中有两个核心机制至关重一是大学衍生企业创业能力提升机制，二是大学对衍生企业创业能力的促进机制。对国外有关大学衍生企业创业能力发展的研究文献进行了梳理整合，系统解构了大学衍生企业创业能力的核心要素，总结剖析了大学衍生企业创业能力的提升机制以及大学对衍生企业创业能力的促进机制，并在此基础上就深化中国大学改革、促进学术创业提出了相关建议。
