摘要

The new Civil Code (Law 89/2012) aims to streamline the process of establishing a company in the Czech Republic. It provides the basic terms and principles of all private law, including contractual law, while the Business Corporations Act (BCA, Law 90/2012) governs noncontractual issues. The BCA fully replaced the Commercial Code (Law 513/1991) in 2016. Companies may choose from the two-tiered structure (a supervisory board and a management board) mandated by the Commercial Code or just employ a single board of management. Legal entities may become members of supervisory boards, and companies with more than 50 employees are absolved from providing board seats to employee representatives. The BCA permits proxy voting by board members and eliminates term limits on membership.
