Foreign companies do not need formal approval for direct investment in Switzerland and no particular office oversees it. Nevertheless, government permission is required to establish a foreign-owned company operating in the financial-services sector. In most areas of business, no overall restrictions apply to the percentage of equity that foreign companies may hold. They may invest in the same industries as private Swiss companies; Swiss law excludes both from some public services under state control. In March 2020 the parliament called on the government to establish a stronger legal basis to monitor foreign-investor activity, reflecting a wider trend across Europe. While no new investment screening measures were enacted as of end-October 2021, the Federal Council in August 2021 put forward a broad framework for the introduction of a screening regime for foreign direct investment (FDI). The framework includes possible merger filing requirements for foreign state investors. It also establishes the State Secretariat for Economic Affairs as the authority for FDI screening. A full draft bill is expected to be ready for public consultation in March 2022.
