交通运输企业并购案例分析r——以粤运交通并购为例

         

摘要

交通运输行业是我国支柱产业之一,属于网络运输范畴,并购则是其开展集约化、网络化的发展模式,实现规模经济的有效手段之一.并购案例分析解释了交通运输行业并购的一般性机理,认为并购成功应注重以下方面:合理选择并购时机,合理选择并购目标对象,注重并购后市场资源整合,完善设计股权结构与内部管理,适度的政府主导和参与,注重防范并购项目潜在风险和市场环境变化.%The transportation industry is one of the pillar industries in China. It belongs to the category of network transportation. M&A is one of the effective means to carry out intensive and networked development mode and realize economies of scale. The M&A case analysis explains the general mechanism of M&A in the transportation industry. It is believed that the success of M&A should pay attention to the following aspects: rationally choosing the timing and the target of M&A, paying attention to the integration of market resources after the acquisition, improving the design ownership structure and internal management, moderate government-led and involved, focusing on the potential risks of the M&A project and the changes in the market environment.
